'Lease assignment', known in Dutch law as indeplaatsstelling (literally 'substitution'), is a legal mechanism that allows a departing tenant to transfer their entire rental agreement, with all its original rights and obligations, to a new, incoming tenant. It is crucial for residential tenants to understand that this is not a standard right or practice in the residential sector. The indeplaatsstelling procedure is found in the section of the law that governs commercial leases, particularly for retail businesses. It is designed to allow a business owner who sells their shop or cafe to also transfer the valuable lease of the property to the new business owner.
In a commercial context, if a tenant wants to assign their lease, they must first seek the landlord's permission. If the landlord refuses, the tenant can ask a court for authorization. The court will grant the assignment if the tenant has a compelling reason (like selling their business) and the proposed new tenant is financially reliable. If approved, the new tenant steps directly into the shoes of the old one, and the original tenant is completely released from all future obligations under the lease. This is a complete and formal transfer of the contract itself.
This formal assignment process does not apply to residential tenants. A residential tenant who wants to leave cannot simply find a replacement and 'assign' their lease. The standard and correct procedure is for the tenant to formally terminate their own lease with the landlord, observing their one-month notice period. The landlord is then free to select a new tenant of their own choosing. The alternative, subletting (onderverhuur), is a completely different concept. In a sublet, the original tenant remains the primary tenant in the contract with the landlord and becomes the landlord to the new sub-tenant. This is often prohibited in rental agreements and carries significant legal risks and responsibilities for the original tenant. It is not a true transfer of the lease.
